Our client, a leading global hedge fund, is seeking an In-House Company Secretary to join its growing team.  This is an exciting opportunity for a governance professional to take ownership of corporate secretarial responsibilities within a fast-paced, collaborative, and non-hierarchical environment.

The Role

As In-House Company Secretary, you will play a key role in managing board governance and corporate compliance across multiple jurisdictions. You will coordinate board meetings, oversee entity management, and liaise with internal teams and external advisors. This role also offers a clear pathway to developing into a Director of Jersey entities, providing a unique opportunity to progress within the business.

Key Responsibilities:

  • Board Governance: Schedule and coordinate board meetings, prepare agendas, distribute materials, and maintain accurate meeting minutes.
  • Regulatory Compliance: Manage annual filings and corporate documentation across multiple jurisdictions.
  • Entity Management: Oversee the set-up of new entities and maintain key corporate documents within the firm’s entity management system.
  • Stakeholder Engagement: Act as a primary liaison with external directors, Third Party Administrators, internal teams (COO, Legal, Compliance, Finance, Operations, and Tax), advisors, and auditors.
  • Corporate Calendar: Monitor and ensure timely execution of governance-related deadlines.
  • Director & Officer Onboarding: Support the onboarding of directors and key personnel, managing their filings and disclosures.
  • KYC & Documentation: Assist with know-your-client (KYC) processes and execution of corporate documents.

About You

  • Qualifications & Experience:
    • Chartered Secretary qualification (ICSA/CGI)
    • 4+ years of experience in a corporate secretarial, legal, or governance role within financial services or asset management.
  • Skills & Attributes:
    • Strong attention to detail and ability to think critically.
    • Excellent communication and organisational skills.
    • Ability to manage multiple priorities and deadlines in a fast-paced environment.
    • Experience working across multiple regions and time zones.
    • A proactive, problem-solving approach to corporate governance challenges.
