General Counsel / Chief Legal Officer – Single Family Office – Jersey

Our client is an exceptional Single Family Office with a growing Jersey presence and a superb office culture… as Chief Legal Officer, you will work alongside the Head of Family Office and Principal to provide key legal advice as it relates to many areas.

 

In this role you will:

  • Provide high level legal advice to the Principal and Head of the Family Office
  • Have the ability to prioritise a large number of tasks
  • Work seamlessly across different jurisdiction and structures
  • Be highly organized and able to work well under pressure / tight deadlines
  • Work with law firms across common law and civil law jurisdictions on various legal matters including employment matters, contracts, NDAs, ad-hoc agreements, lettings, purchase and sale agreements and trust related matters
  • Provide written advice and recommendations
  • Understand complex legal structures and help with their evolution according to the requirements of the Family
  • Review legal documentation including contracts, agreements and other legal documentation
  • Assess likely legal and tax risks and articulate them and provide mitigation strategies to identified risks
  • Organize board meetings and AGMs including the drafting of all related documentation
  • Work with in-house Company Secretary to maintain document management system
  • Ensure all entities remain compliant with their legal obligations
  • Establishing a network of advisers to ensure you are kept up to date with legal and tax developments in key jursidicstions

 

What we need from you:

 

  • Familiar with trust, foundations and SPV structures used by Family Offices to hold different asset classes (real estate, yacht, plane, art collection etc)
  • Establishing and managing complex legal structures to hold Family owned assets
  • Familiarity with offshore concepts such as substance rules and transfer pricing
  • Practical knowledge and experience of working in a trust environment preferably with related dispute resolution / litigation exposure
  • Familiarity with investment programs, due diligence and reacted AML/KYC requirements
  • Purchase and letting of private assets and real estate
  • A familiarity with civil law concepts like Foundations would be advantageous
  • Experience in drafting corporate minutes and related documentation
